The following document explains the Terms and Conditions (also referred to as “Agreement“) binding on you by using (browsing or donating or interacting on) our Website or by using any of our Services (referred to henceforth as “Services”) on the Website, including any other legal notices and regulations applicable between you and Green Vision (also referred to as “us” or “our” or “we”)

Please review the following terms carefully. If you do not agree to any of these terms, please do not use this Website. This Agreement and various other policies are binding as per the provisions of the Information Technology (Intermediaries Guidelines) Rules 2011 formulated under the Information Technology Act 2000.

1) Acceptance

By using the Website, you acknowledge the terms and conditions hereof and agree that you will be bound by the Terms and Conditions contained in this Agreement.

In addition, this Agreement may be changed or updated by Green Vision from time to time without any prior notice to you. Changed Terms and Conditions will become valid upon being posted on the Website. Your continuous use of our Website signifies your acceptance of the amended Agreement.

Unless explicitly stated otherwise, any further upgrade, modification, addition or change or any new function that augments or enhances the Website shall be subject to this Agreement. You may stop using the Website at any time.

2) Users

The Website provides Services to individuals and companies who can form legally binding contracts under the Applicable Law (Clause 10 below). If you do not qualify, please do not use the Website. Individuals under the age of 18 years may use this Website and our Services only in conjunction with and under the supervision of a parent or legal guardian. In this case, the adult is the user and is responsible for any and all activities.

Green Vision is obligated to advise you that any user, during accessing the Website, must behave in accordance with applicable laws in their respective jurisdictions. We are not responsible for the possible consequence caused by your behaviour during use of the Website.

Green Vision will not be liable to any User: (i) if Green Vision, does not proceed with a transaction or disbursement that would exceed any limit established by us for a security reason; or (ii) if Green Vision exits from such transaction.

3) Privacy

We respect your privacy. To understand how we use and share information about you please see our Privacy Policy which is deemed to be a part of this Agreement.

4) Terms of Use and License

You may not reproduce, distribute, display, sell, lease, transmit, create derivative works from, translate, modify, reverse-engineer, disassemble, decompile or otherwise exploit this Website or any portion of it by any means, unless expressly permitted by Green Vision. It is further clarified that unlimited or wholesale reproduction, copying of the content for commercial or non-commercial purposes and unwarranted modification of data and information within the content of the Website is not permitted.

Any breach of these Terms and Conditions may result in the immediate revocation of the license granted above, without notice to you.

5) Links

The Website may contain links to other sites but Green Vision does not have control over such sites and resources provided by those sites. Please be cautious about such sites’ terms and conditions and/or privacy before using such sites. Green Vision does not endorse and is not responsible for the validity of any content, advertising, service, products or information from said linking sites. You acknowledge that Green Vision is not liable, or responsible, directly or indirectly, for any damage or loss caused by any content, advertising, service, product or information from the linking sites.

6) Copyright and Trademarks

The Website’s design, names, text, images, graphics, logo, other registered or unregistered trademarks displayed on the Website is the exclusive property of Green Vision and protected by the laws of India and international copyright laws.

They may not be reproduced for any commercial or public purpose without the expressed consent of Green Vision.

7) User Uploads

Users may upload photos for competitions and such on the Website. Anything that you submit (also referred to as “Submissions”) and/or provide is and will be treated as non-confidential and non-proprietary, and you grant us a royalty-free, worldwide, perpetual, irrevocable and transferable right to use, copy, distribute, display, publish, perform, sell, lease, transmit, adapt, modify, create derivative works from such Submissions by any means and in any form, and to translate, modify, reverse-engineer, disassemble, or decompile such Submissions.

In addition, when you post Submissions to the Website, you also grant us the right to use the name that you submit with any review, comment, or other content, if any, in connection with such review, comment, or other content. You represent and warrant that you own or otherwise control all of the rights to the Submissions that you post on our Website and that use of your reviews, comments, or other Submissions by us will not infringe upon or violate the rights of any third party.

You shall not use a false e-mail address, pretend to be someone other than you or otherwise mislead us, our affiliates or third parties as to the origin of any Submissions. The Website, the Services and the products purchased by you are provided on an “as is” basis. Green Vision makes no other representations or warranties of any kind, express, implied or statutory. Green Vision, and its subsidiaries, affiliates, officers, directors, employees, shareholders, agents, merchants and suppliers specifically disclaim any implied warranties of title, merchantability, performance, fitness for a particular purpose and non-infringement. In addition, no advice or information (oral or written) obtained by you from Green Vision shall create any warranty.

Green Vision has endeavoured to ensure that all the information on the Website is correct, but Green Vision neither warrants nor makes any representations regarding the quality, accuracy or completeness of any data, information, product or Service. In no event shall Green Vision be liable for any direct, indirect, punitive, incidental, special, consequential damages or any other damages resulting to you from: (a) the use or the inability to use the Services or products; (b) unauthorized access to or alteration of the user’s transmissions or data; (c) any third party Website; (d) including without limitation, lost profits, bodily injury, emotional distress, or any special, incidental or consequential damages, arising out of or in any way connected with the use or performance of the Website or the Services.

10) Applicable Law

This Website originates from Visakhapatnam, Andhra Pradesh, India. This Agreement will be governed by and construed in accordance with the laws of the State of Andhra Pradesh, India without regard to its conflict of law principles to the contrary. Neither you nor Green Vision will commence or prosecute any suit, proceeding or claim to enforce the provisions of this Agreement, to recover damages for breach of or default of this Agreement, or otherwise arising under or by reason of this Agreement, other than in courts located in Visakhapatnam in the State of Andhra Pradesh. By using this Website and its Services, you consent to the exclusive jurisdiction and venue of such courts in connection with any action, suit, proceeding or claim before court, quasi-judicial or any government authority or an arbitral body (if mutually agreed), either in contract or under tort, arising under or by reason of this Agreement.

11) Copyright Complaints

We respect the intellectual property rights of others and we prohibit users from uploading, posting or otherwise transmitting on our Website or in connection with the Services any materials that violate another party’s intellectual property rights as described herein in accordance with the Indian Copyright Act 1957.

12) Intellectual Property Rights

All of the information posted/uploaded by Green Vision on this Website shall remain the intellectual property of Green Vision only. Intellectual Property shall mean all special business knowledge of Green Vision which means but not limited to, database rights, trademarks, trade secrets, technology, know how, etc of Green Vision.

13) Relationship between you and Green Vision

Nothing contained in this Agreement shall be deemed to create any partnership, joint venture, employment between you and Green Vision. You and Green Vision shall have “Principal to Principal” relationship.

14) Entire Agreement

This Agreement along with the updated/amended Agreement from time to time is the entire agreement between you and Green Vision. Green Vision has not made any representations or promises to you under this Agreement by use of the Website.

15) Severability

In the event any portions of this Agreement are held to be invalid by a competent court of law, all other portions of this Agreement shall continue to be valid.

16) Waiver

No waiver of a breach of the terms of this Agreement by you shall be effective unless made in writing by Green Vision, and no such waiver by you shall be deemed a waiver of any other existing or subsequent breach.

17) Notices

All notices shall be sent prepaid either by post or courier addressed to Green Vision at the address hereinabove set forth or by email to hello@greenvision.earth
